This is due to the fact the operation of the business and the sale process is governed by the franchise agreement. This will restrict the sale of the business without the franchisor’s consent and sets out the relevant process for the sale to take place. The buyer’s and seller’s solicitors are required to meet the franchisor’s requirements to complete the transaction, as well as negotiate between them the terms of the sale and purchase itself. Having solicitors that are familiar with these arrangements and know what they are doing, can save costs, help matters run effectively and provide greater protection.
